Terms of Service
Last updated September 26, 2026
These Terms of Service (the “Terms”) are an agreement between you and Peak Beak LLC, an Ohio limited liability company doing business as SealProof (“SealProof”, “we”, “us”). They cover the website at sealproof.io, the app at app.sealproof.io, the SealProof iPhone app, the SealProof API and SDK, and the SealProof software you run yourself (together, the “Service”).
By creating an account, signing a document, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a company or other organization, you agree for that organization and confirm you can bind it; “you” then means that organization too.
Please read sections 11 to 14 and 17 carefully. They explain what the Service's security does and doesn't promise, limit our liability, ask you to indemnify us in some situations, and require most disputes to be settled by individual binding arbitration instead of in court or as a class action. You can opt out of arbitration within 30 days (section 17.7).
1. What SealProof does
SealProof lets you prepare documents, send them to people to sign, and seal the finished document so any later change can be detected. Documents, titles and field contents are encrypted on your device before they reach us, and the keys stay with you, the teammates you share with, and your signers. Each completed document is sealed with a digital signature and a trusted timestamp, and a one-way fingerprint of the seal is recorded in the public SealProof Anchor so anyone can verify it later without trusting us.
2. Accounts
- You must be at least 18 and able to form a binding contract. Give accurate information and keep it current.
- You're responsible for everything done under your account and your team, and for keeping your email account, devices and sign-in methods secure. Tell us promptly at security@sealproof.io if you think your account has been misused.
- Team owners and admins control their team: who's on it, what they can see, the plan, and billing. Documents a teammate shares with you stay theirs and the team's.
3. Your encryption keys (please read)
Because documents are encrypted on your device, we cannot read them and we cannot recover them. Your passphrase and recovery key are the only way to unlock your documents. If you lose both, your documents cannot be opened by anyone, including us, and we are not responsible for that loss. Keep your recovery key somewhere safe, and keep your own copies of important signed documents.
4. Your content
- You keep all rights to the documents, data and signatures you and your signers put into the Service (“Your Content”).
- You give us a limited license to store, copy, transmit and process Your Content (in its encrypted form) and related information, only to run, secure and improve the Service and as the Privacy Policy describes.
- You're responsible for Your Content and for having the rights and permissions needed to send it and to ask people to sign it.
- Seals, timestamps and fingerprints recorded in the public SealProof Anchor are permanent by design and can't be removed. They contain no readable document content.
5. Electronic signatures and your responsibilities
- SealProof provides tools designed for the U.S. ESIGN Act and UETA. Whether an electronic signature is valid or enforceable for a particular document, person or place depends on the law and the facts, and some documents (for example certain wills, court orders and notices) may require wet ink, notarization or other formalities. You are responsible for deciding whether electronic signing is appropriate for your documents.
- You are responsible for identifying and authenticating your signers to the level your situation requires. Optional checks we offer (email codes, in-person checks, photo ID and selfie checks) help, but no method guarantees who someone is.
- Signers agree to sign electronically on the signing page before they sign. Senders are responsible for any notices, consents and record-keeping their own laws or industry require of them.
- Nothing in the Service is legal, tax or other professional advice.
6. Acceptable use
You agree not to, and not to let anyone else:
- forge, impersonate or misrepresent a signature, signer, sender or business, or use the Service for fraud, phishing, harassment or anything unlawful;
- send spam or messages people haven't agreed to receive;
- upload malware or content you have no right to share;
- probe, scan or test the Service's security without our written permission (report issues to security@sealproof.io), or interfere with, overload or disrupt it;
- get around plan limits, fair-use limits, rate limits or access controls;
- resell or offer the Service to others as a platform without a partner agreement with us; or
- copy, reverse engineer or build a competing service from the hosted Service, except as the law allows or the self-hosted license permits.
7. Plans, payment and renewal
- Free and paid plans. Plan features, allowances and prices are shown on our pricing page and in the app. Prices are in U.S. dollars and don't include sales tax, which we add where required.
- Automatic renewal. Paid plans renew automatically each month or year until cancelled, and we charge the payment method on file through our payment processor, Stripe. You can cancel anytime in Settings; cancellation takes effect at the end of the current billing period.
- No refunds for partial periods, unused allowances or downgrades, except where the law requires otherwise.
- Price changes. We may change prices with at least 30 days' notice by email. The new price applies from your next renewal after the notice period.
- Late or failed payment. If a payment fails, we may retry it and, if it isn't resolved, move your team to the free plan. You keep access to your existing documents.
- Users. Team and Business plans are priced per user. You may not share one user's access among several people.
8. Unlimited envelopes and fair use
“Unlimited” envelopes on paid plans are for normal business use by the people on your plan and are subject to fair use: currently up to 1,000 envelopes per user a month on Team and Business and 300 on Solo. If use goes well beyond that or looks automated or abusive, we may contact you, ask you to move to a suitable plan or boost pack, or pause sending until it's resolved. Photo ID checks and text messages have the monthly allowances shown for your plan.
9. Boost packs and promo codes
- Boost packs are one-time purchases of extra envelopes or photo ID checks for your team. They're used after your plan's monthly allowance runs out, don't expire while your account is open, have no cash value, can't be transferred, and are non-refundable except where the law requires. Unused boosts end when the account is closed.
- Promo codes are subject to the terms shown when they're offered, have no cash value, and may be limited to new customers, certain plans, monthly billing or a number of users. We may end a promotion, or remove a discount applied in breach of its terms or of these Terms, with notice, after which normal prices apply.
10. Third-party services
The Service relies on third parties, including Stripe (payments and identity checks), Amazon Web Services, Supabase, our email and hosting providers, public timestamp authorities, and Apple. Their services are governed by their own terms, and we're not responsible for their acts, outages or policies.
11. Security and cryptography
SealProof's encryption, digital signatures, timestamps and tamper evidence are built on widely used, published and peer-reviewed cryptographic algorithms and standards (such as AES-256-GCM, X25519 and XChaCha20-Poly1305 via libsodium, SHA-256, Argon2id, Ed25519 and ECDSA signatures, and RFC 3161 timestamps). How they work is public, and our method is described on our website, so anyone can check it. We work to implement them carefully, follow industry practice, and keep the Service up to date.
However, you understand and agree that:
- No system is perfectly secure. Software can contain bugs or vulnerabilities, including in our code, in the open-source libraries it uses, and in your devices, browsers and networks.
- Bugs. If we find or are told about a bug or vulnerability in the Service, we will make commercially reasonable efforts to fix it within a reasonable time and, where appropriate, to tell affected customers. We don't promise that the Service will be free of bugs or that every issue can be fixed.
- Cryptographic advances. The security of any cryptography depends on the state of mathematics and computing. An algorithm, standard or implementation that is considered secure today may be weakened or broken in the future, including by advances in cryptanalysis or by quantum computers, which could make some of today's encryption and digital signatures ineffective. We don't promise that any cryptographic method will remain secure for any period of time.
- Our responsibility. To the fullest extent permitted by law, Peak Beak LLC is not liable for any loss, damage, disclosure or claim that results from (a) a flaw, weakness or break in any cryptographic algorithm, standard, protocol or third-party library; (b) any cryptography becoming ineffective through advances in computing, including quantum computing; (c) a bug or vulnerability in the Service that we did not cause intentionally or through gross negligence, provided we made reasonable efforts to fix it after we knew of it; or (d) the compromise of your own devices, accounts, passphrase or recovery key.
- Tamper evidence is evidence, not a guarantee. Seals are designed to show whether a document changed after signing. They don't prove the content is true, lawful or what anyone intended, and they don't guarantee any result in a dispute, audit or court.
12. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted, secure or error-free operation. We don't warrant that the Service will meet your requirements, that any document will be legally valid or enforceable, or that any cryptography will remain secure.
13. Limitation of liability
To the fullest extent permitted by law: (a) Peak Beak LLC and its members, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, however caused and even if advised of the possibility; and (b) our total liability for all claims relating to the Service or these Terms will not exceed the greater of the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or $100.
These limits apply to every theory of liability, including contract, tort (including negligence) and statute, and even if a remedy fails of its essential purpose. They don't limit liability that can't be limited by law, such as for fraud or willful misconduct. Some places don't allow certain exclusions, so some of these may not apply to you.
14. Indemnification
To the fullest extent permitted by law, you will defend, indemnify and hold harmless Peak Beak LLC and its members, officers, employees and contractors from and against any claims, losses, liabilities, damages, judgments, settlements, costs and expenses (including reasonable attorneys' fees) arising from or relating to: (a) Your Content; (b) your use of the Service, including the documents you send and how you identify your signers; (c) your breach of these Terms or of any law or third-party right; and (d) any of the events listed under “Our responsibility” in section 11, including the weakening or breaking of any cryptography by any means, including quantum computing. We'll tell you about any claim, let you control its defense (though we may join with our own counsel at our cost), and you won't settle it in a way that admits fault by us or binds us without our written consent.
15. Closing your account, suspension and termination
- You can close your account anytime in Settings (or in the iPhone app). When you do, we void open envelopes, delete your stored documents and destroy their keys; this can't be undone. Records needed to verify past seals, and fingerprints in the public Anchor, remain.
- We may suspend or end your access if you breach these Terms, create risk or legal exposure for us or others, fail to pay, or if the law requires it. Where reasonable we'll give notice and a chance to fix the problem first.
- Sections that by their nature should survive (including 3, 4, 11 to 14, 17 and 18) survive termination.
16. Self-hosted software and the API
If you license SealProof to run on your own servers, the license you accept for that software also applies, and you are responsible for your own hosting, configuration, security, backups and updates. Use of the API is also subject to the rate limits, allowances and usage rules in our developer documentation.
17. Dispute resolution: binding arbitration and class-action waiver
17.1 Talk to us first. Before starting a claim, email legal@sealproof.io with a description of the dispute and the relief you want, and we'll try in good faith to resolve it informally for 30 days. We'll do the same for you.
17.2 Agreement to arbitrate. If we can't resolve it, you and Peak Beak LLC agree that any dispute, claim or controversy arising out of or relating to the Service or these Terms (including their formation, scope, validity and whether a dispute must be arbitrated) will be resolved by final and binding individual arbitration, not in court, except as section 17.4 allows.
17.3 Rules and place. The American Arbitration Association (AAA) will administer the arbitration under its Consumer Arbitration Rules if you use the Service mainly for personal purposes, and otherwise under its Commercial Arbitration Rules, before a single arbitrator. The Federal Arbitration Act governs this section. Unless you and we agree otherwise, the arbitration will be held in Belmont County, Ohio, or by video or on written submissions, and for claims under $10,000 you may choose to proceed by phone, video or documents only. Fees follow the AAA rules; where the Consumer Rules apply, we'll pay the filing, administration and arbitrator fees beyond the amount you'd pay to file in court. The arbitrator may award any individual relief a court could, and judgment on the award may be entered in any court with jurisdiction.
17.4 Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and either of us may seek an injunction in court to protect intellectual property or stop unauthorized access to or misuse of the Service.
17.5 No class actions. You and we may bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and the arbitrator may not consolidate claims or award class-wide relief. You and we waive any right to a jury trial.
17.6 Severability of this section. If the class-action waiver is found unenforceable for a claim, that claim (and only that claim) will go to court, not arbitration. If any other part of this section is found unenforceable, the rest still applies.
17.7 30-day opt-out. You can opt out of this arbitration agreement by emailing legal@sealproof.io within 30 days of first accepting these Terms, with your name, account email and a clear statement that you opt out of arbitration. Opting out doesn't affect the rest of these Terms.
17.8 Time limit. To the extent the law allows, any claim must be brought within one year after it arises, or it is permanently barred.
18. Governing law and venue
These Terms are governed by the laws of the State of Ohio and applicable U.S. federal law, without regard to conflict-of-law rules. For any matter not subject to arbitration, you and we agree to the exclusive jurisdiction of the state and federal courts serving Belmont County, Ohio.
19. Changes to these Terms
We may update these Terms. For material changes we'll email account holders or show a notice in the app at least 14 days before they take effect (unless a change is required sooner by law or addresses a security issue). Continuing to use the Service after changes take effect means you accept them. Changes to section 17 won't apply to disputes already notified to us.
20. General
- These Terms, the Privacy Policy and any order or offer you accept are the whole agreement about the Service. A signed agreement with us for a custom plan or self-hosted license controls where it conflicts.
- If any provision is unenforceable, the rest remains in effect. Our not enforcing a provision isn't a waiver.
- You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets.
- Neither of us is liable for delays caused by events beyond reasonable control, such as outages of third-party providers, natural disasters or government action.
- We may send notices to your account email; you may send notices to legal@sealproof.io.
- You're responsible for complying with export and sanctions laws that apply to your use of the Service.
